Welcome to TBD (“we”, “our”, “us”). These Terms & Conditions govern all services provided by TBD, including website design, website development, website hosting, website maintenance, SEO services, copywriting, business photography and related digital services.
By engaging our services, you agree to these Terms & Conditions.
1. Services
TBD provides professional digital services, including but not limited to:
Website Design
Website Development
Website Hosting
Website Maintenance
Search Engine Optimisation (SEO)
Business Photography
Website Copywriting
Specific services included in your project are outlined within your accepted quote or proposal.
2. Quotes & Acceptance
All quotations are valid for 30 days unless otherwise stated.
Acceptance of a quotation, payment of a deposit or written approval constitutes acceptance of these Terms& Conditions.
3. Deposits & Payments
A 50% deposit is required before any work will commence.
The remaining balance must be paid in full before the website is made live and after the client has approvedthe completed project.
Ownership of the completed website will not transfer until full payment has been received.
4. Revisions
The number of revisions included with a project is determined by the client’s selected package.
Additional revisions or changes beyond those included may incur additional charges, which will bediscussed and approved before work is completed.
5. Client Responsibilities
The client is responsible for providing any required content including:
Logos
Images
Brand assets
Written content (if not using our copywriting service)
The client confirms they have permission or appropriate licences to use all materials supplied to TBD.
TBD accepts no responsibility for copyright infringement resulting from client-supplied content.
6. Project Delays
Clients are expected to provide requested content, approvals and feedback within a reasonable timeframe.
Projects inactive for more than 30 days due to client delays may be placed on hold and may incur additionalrestart fees or revised completion dates.
7. Website Hosting
Where hosting is provided by TBD:
Hosting is supplied under a minimum 12-month term unless otherwise agreed in writing.
Clients may cancel hosting by providing at least 30 days’ written notice.
Hosting fees are charged according to the client’s selected package.
Hosting fees are non-refundable once paid.
If hosting is cancelled, TBD will reasonably assist with migration of the website to another hosting provider.Additional migration charges may apply where significant work is required.
8. Website Ownership
Upon full payment, the client owns the completed website and its content.
Where the website is hosted by TBD, we will continue managing the hosting environment until the clientrequests transfer or cancellation in accordance with these Terms.
Clients may move their website to another hosting provider by providing at least 30 days’ written notice.
9. Intellectual Property
Unless otherwise agreed, all client content remains the property of the client.
TBD retains ownership of any proprietary systems, development methods, reusable code, templates andinternal processes used in creating the website.
TBD reserves the right to display completed projects within our portfolio, website and marketing materialsunless otherwise agreed in writing.
10. SEO Services
SEO is an ongoing marketing service.
While TBD follows recognised best practices, we cannot guarantee:
Search engine rankings
Specific traffic increases
Lead generation
Sales or revenue outcomes
Search engine algorithms are controlled by third parties and may change without notice.
11. Third-Party Services
TBD may use third-party software, plugins, hosting providers or external services.
We are not responsible for outages, software defects, pricing changes, discontinued services or issuescaused by third-party providers.
12. Website Maintenance & Support
Maintenance and support services are provided according to the client’s selected package.
Any work outside the included services may be quoted separately before commencement.
13. Late Payments
Invoices must be paid by the due date shown on the invoice.
If payment remains outstanding for more than 14 days, TBD reserves the right to:
Suspend website hosting or services.
Temporarily take the website offline.
Pause ongoing work.
Charge reasonable recovery costs where applicable.
TBD is not liable for any loss of income, business interruption or damages resulting from suspension due tounpaid invoices.
14. Refund Policy
Deposits are non-refundable once work has commenced.
Completed website projects are non-refundable.
Hosting fees, maintenance fees and subscription services are non-refundable once paid.
15. Limitation of Liability
To the maximum extent permitted by Australian law, TBD shall not be liable for:
Loss of profits
Loss of business
Loss of data
Business interruption
Indirect or consequential losses
Our total liability is limited to the amount paid by the client for the specific service giving rise to the claim.
16. Governing Law
These Terms & Conditions are governed by the laws of Queensland, Australia.
Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Queensland.
17. Changes to These Terms
TBD reserves the right to update these Terms & Conditions at any time.
